We provide B2B consulting services related to growth strategy, monetization, offers, operations, and performance systems for digital businesses. Services may include discovery calls, audits, strategic plans, implementation support, and related deliverables described in a written proposal, statement of work (“SOW”), or invoice.
We do not provide legal, accounting, or tax advice. You should consult qualified professionals for those matters.
2) Engagements, Deliverables, and Client Responsibilities
- You agree to provide accurate and timely information needed to perform the Services.
- You remain responsible for business decisions and implementation.
- Delays caused by missing information or unavailable stakeholders may impact timelines.
3) Fees and Payment Terms
Fees are described in the proposal/SOW and/or invoice. Unless otherwise stated:
- Invoices are due upon receipt or within the stated payment window.
- Payment may be accepted by bank transfer and/or card (if offered on the invoice).
- Late payments may pause work until balances are paid.
4) Refunds
Because Services are professional time-based and/or deliverable-based, refunds are generally not provided once work has started, unless required by law or explicitly stated in writing in your proposal/SOW. If a refund policy applies to your engagement, it will be stated in the invoice or SOW.
5) No Guarantees
We do not guarantee specific outcomes, financial results, or performance improvements. Results depend on many factors, including market conditions, competition, execution quality, and your business constraints.
6) Intellectual Property
Unless otherwise stated in writing:
- We retain ownership of our pre-existing materials, frameworks, templates, and know-how.
- Upon full payment, you receive a non-exclusive license to use deliverables created specifically for you internally in your business.
- You may not resell, redistribute, or publish our materials without written permission.
7) Confidentiality
Both parties agree to keep non-public business information confidential and to use it only for the purpose of the engagement, except where disclosure is required by law or with written consent.
8) Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or business opportunities.
Our total liability for any claim related to the Services will not exceed the fees paid to us for the specific Services giving rise to the claim.
9) Dispute Resolution
If a dispute arises, both parties agree to attempt good-faith resolution first. If unresolved, disputes will be handled according to the Governing Law section below. You and the Company agree to bring claims in the applicable courts specified therein unless otherwise agreed.
10) Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Venue for disputes will be the state or federal courts located in Delaware, unless otherwise required by applicable law.
11) Website Use
- You agree not to misuse the website, attempt unauthorized access, or disrupt service availability.
